General terms for businesses

These terms apply to all business services of HIER ANKOMMEN, especially live online German lessons for international staff, individually or in closed teams, and related organisation and scheduling. They apply exclusively to business customers, not private individuals.
1. Scope
These terms govern all contracts between Esra Medik, sole proprietor (HIER ANKOMMEN), and businesses for live online German lessons for international employees and related organisation and scheduling. They apply only to businesses under section 14 BGB, not consumers. Private customers are subject to separate terms for private customers.
2. Contracting party
The contracting party is Esra Medik, sole proprietor (HIER ANKOMMEN). Full contact details are in the Legal notice (Impressum). Obtain legal review before publication.
3. Contract formation
A free initial consultation discusses the company's needs and conditions. HIER ANKOMMEN then prepares an individual written offer. The contract forms when the company accepts in writing, usually by email. Project implementation starts on contracting, followed by agreed invoicing.
4. Individual proposals
Website per-unit prices apply to individual and team training. Scope, participant numbers, format and dates are set in a binding individual offer. Larger groups or special needs receive a custom offer. General website descriptions are guidance, not binding offers.
5. Scope of services
Depending on agreement, services include live online German for one employee or a closed team, general and professional content, assigning suitable teachers, scheduling and ongoing company communication. A teaching unit is 45 minutes. Only the specific offer determines the agreed scope.
6. Changes to services
Changes to agreed scope, for example because company circumstances change, require both parties' consent and written recording. Work beyond the initial offer is separately agreed and billed.
7. Prices
Website per-unit prices or those in the specific offer apply. All prices are final. Under section 19 UStG (small-business exemption), VAT is neither charged nor shown.
8. Payment terms
Payment is by invoice only. Unless otherwise agreed, invoices are due without deductions within 14 days of invoice date by transfer to the stated account. Online payment services are not offered.
9. Company's cooperation duties
The company promptly supplies information, contacts, premises or access and organisational conditions needed for delivery, especially lesson planning. Delays from insufficient cooperation are not attributable to HIER ANKOMMEN.
10. Service delivery
Lessons are live online. Processes, content and contacts are coordinated with the company's dedicated contact. HIER ANKOMMEN performs with the customary care for the field.
11. Dates
Teaching and coordination dates are mutually agreed with the company or participating staff and confirmed in good time where possible.
12. Rescheduling
Agreed dates may be moved by prior arrangement subject to capacity. The company should report short-notice changes as early as possible. If HIER ANKOMMEN cancels, a replacement date is promptly offered.
13. Duration
Duration and scope follow the agreed service model in the individual offer. Ongoing services are extended only by express agreement of both parties.
14. Termination
Ordinary notice periods follow the agreed model. Both parties retain extraordinary termination for good cause. Termination must be in writing. Obtain legal review before publication.
15. Force majeure
If circumstances beyond HIER ANKOMMEN's control, such as force majeure, official orders or similar events, prevent or delay delivery, affected obligations are suspended for the disruption without claims arising against HIER ANKOMMEN.
16. Confidentiality
Both parties keep the other's confidential business information learned during cooperation secret and do not disclose it to third parties, especially internal business and staff personal data.
17. Data protection
Information on personal data processing during cooperation is in the Privacy policy. Both parties comply with applicable data protection rules, especially the GDPR.
18. Staff data processing
Staff personal data, such as name, contacts or language level, are processed solely to deliver agreed services. Where necessary, the parties conclude a separate processing agreement under Article 28 GDPR. Obtain legal review before publication.
19. No legal, tax or insurance advice
Our services, including everyday and professional lesson topics, are not legal, tax or insurance advice or representation before authorities, and do not replace licensed professional advice. Seek qualified advice for relevant decisions.
20. Liability
HIER ANKOMMEN has unlimited liability for intent, gross negligence and product liability. For slight negligence, liability is only for essential obligations and limited to foreseeable typical damage. No liability is assumed for a specific learning outcome or economic success of teaching measures. Obtain legal review before publication.
21. Copyright in teaching and training materials
All supplied teaching materials, exercises and documents remain copyrighted and the property of HIER ANKOMMEN or the respective rights holder.
22. Use of materials
Materials may only be used internally by the company and participating employees for the agreed service. Sharing with third parties, copying or publishing requires prior written consent from HIER ANKOMMEN.
23. Final provisions
German law applies excluding the UN Sales Convention. Where legally permitted, jurisdiction is HIER ANKOMMEN's seat. Amendments require writing. Invalidity of one provision does not affect the others. Obtain legal review before publication.
